Purpose of Collaboration
By utilizing HotelsHero’s software, the Storage Provider can offer guests an efficient and secure method for managing luggage storage. Guests can independently register, store, and retrieve their luggage through the HotelsHero platform, thereby minimizing staff involvement and enhancing operational efficiency.
Luggage Registration
The Storage Provider agrees that all luggage registrations related to the luggage room will be exclusively managed via the HotelsHero software. For safety and consistency, no alternative systems or third-party software shall be used for this purpose during the term of this Agreement.
WHEREAS HotelsHero is a communication platform provider offering a Luggage Management System (hereinafter the “Services”) for managing luggage storage operations.
WHEREAS the Parties shall complete an Order Form specifying the selected SaaS product, services, and associated pricing for the use of the HotelsHero platform.
NOW, THEREFORE, the Parties agree to the following terms and conditions:
1. DEFINITIONS
1.1 “Luggage Management System (HotelsHero)” means the proprietary software provided by HotelsHero to Storage Providers for managing luggage storage services.
1.2 “HotelsHero Dashboard” refers to the login interface through which the Storage Provider can manage luggage storage operations.
2. REMUNERATION
2.1 The Storage Provider’s selected rate (if any) for luggage storage per hour or day will be charged on their behalf and is subject to applicable VAT or local taxes, which the Storage Provider is solely responsible for remitting. HotelsHero will provide a monthly statement detailing amounts collected, less any applicable fees.
2.2 Any insurance options or service fees selected by the guest are charged separately and do not form part of the Storage Provider's revenue.
2.3 Any tips collected from guests will be included in the detailed monthly statement.
3. HOTELSHERO USAGE AND PRICING
3.1 The Storage Provider agrees to use HotelsHero in accordance with the specifications provided and in compliance with applicable local laws.
3.2 HotelsHero will provide training, technical support, and software updates to ensure effective use of the system.
3.3 The Storage Provider acknowledges that HotelsHero acts as a communication platform to facilitate and streamline luggage storage management.
3.4 Transaction Fees: Subject to Stripe’s standard pricing.
3.5 Guest Service Fee: A service fee will be added to all paid storage bookings and paid by the guest.
3.6 Pricing Plan: The monthly pricing plan is based on the volume of bags stored in accordance with the HotelsHero Pricing Plan.
3.7 Tier Structure: The pricing for the luggage storage service is based on the volume of bags stored by the Storage Provider on a monthly basis. If the number of bags stored in a given month reaches the threshold for the next tier, the storage provider's account will be automatically upgraded to the next tier.
3.8 Zero-Risk Model: As long as the Storage Provider enables at least one revenue-generating feature, HotelsHero’s fees will never exceed the net profit generated. All applicable fees are deducted from the monthly payout, ensuring no out-of-pocket costs.
4. TERMINATION AND RENEWAL
4.1 Trial Period: This Agreement may be terminated with immediate written notice within 30 days. Upon termination, the Storage Provider must return all hardware, equipment and materials.
4.2 Commitment After Trial: Following the 30-day trial, the Agreement enters into a one-year commitment period, renewing automatically on an annual basis. Termination requires 60 days’ written notice.
4.3 Early Termination for Cause: This Agreement may be terminated by either Party with immediate effect if the other Party materially breaches the Agreement and fails to remedy the breach within the specified cure period or becomes subject to insolvency or similar proceedings.
5. DISCLAIMER
5.1 HotelsHero does not own or operate any Storage Provider facility, nor does it provide luggage storage services directly. Its role is limited to providing the software platform and acting as a limited payment collection agent on behalf of the Storage Provider.
6. GOVERNING LAW AND DISPUTE RESOLUTION
6.1 This Agreement shall be governed by and construed under the laws of Denmark.
6.2 Any disputes shall be resolved by arbitration in accordance with the Rules of the Danish Institute of Arbitration. The arbitration tribunal shall consist of one arbitrator. The arbitration shall take place in Copenhagen, Denmark, and the proceedings shall be conducted in English.
6.3 This clause shall not prevent either Party from seeking injunctive relief through the courts if required.
7. AMENDMENTS TO TERMS AND SERVICES
7.1 HotelsHero reserves the right to modify this Agreement. Any changes will be communicated at least 30 days in advance. Continued use of the platform constitutes acceptance of the revised terms.
8. DATA PROTECTION AND PAYMENT PROCESSING
8.1 Payments are processed via Stripe, a GDPR-compliant third-party provider acting as HotelsHero’s limited payment collection agent.
8.2 Stripe handles and stores all payment data. HotelsHero and the Storage Provider do not have access to customers’ full payment details.
8.3 Customers may request deletion of their account and related data via the booking page or by contacting HotelsHero support.
8.4 The storage provider may activate an optional anonymity feature to allow travelers to store luggage without submitting personal identifiers, in accordance with GDPR.
8.5 The Storage Provider is responsible for handling personal data in accordance with GDPR and for using the HotelsHero Dashboard solely for the purposes outlined in this Agreement.
8.6 Updates to this clause will maintain alignment with applicable data protection laws.
9. ENTIRE AGREEMENT
These Terms of Service represent the complete understanding between the Parties and supersede all prior communications or agreements regarding its subject matter.
